1. Information on services and offer for business cooperation:

Dear Customers,

we beg to introduce you our company and to offer you a possible cooperation in importing the goods to the Czech republic - the line of business would be the public bonded warehousing in the Czech republic connected with the Slovak republic or other neighbouring states, together with complete business service and evtl. with the possibility to enter into direct business relations.

You know very well that this form of cooperation together with good experience with your business partners can essentially support the increase in selling your products on the Czech and Slovak markets.

Our form of the offered cooperation reflects the experience obtained. Our experience showed clearly that by means of public bonded warehousing provided by us, the selling price of any goods imported to the Czech republic must not become too expensive but even reduced, especially because of an essential reduction of immediate financial demands for payments of customs duty, excise tax or VAT as compared to the direct import.

Our company was established in 1992. One of our four separate business centres is specialised in providing the public customs services, on the area of 4.500 m2 at present.

For such an activity, our geographic location is very good because we are closed to the border crossing between the Czech and Slovak republics. So our activity is of advantage mainly for our clients importing the goods from South East Europe and exporting it to the Slovak republic, or for those exporting the goods from Western Europe - as a central warehouse for their branches in the Czech and Slovak republics.

Because the services offered by us exceed the usual range let us to indicated them in details.

In addition to all the usual services of bonded warehousing (completion of customs declarations, customs clearance, security of customs debt and goods storage), we meet many other requirements of our customers, as to their wishes: classification, handling, assemblage, transhipment, stock records, taking out of storage, stocktaking, insurance of goods, arrangement of any kind of inland or foreign transport, invoicing on behalf and credit of another, keeping the cash journal and evtl. also transmission of invoice data into the client's bookkeeping system.

2. Advantages of public bonded warehousing

Below please find a clear arrangement of advantages provided for import of goods to the Czech republic if such goods shall be stored as to the system of our public bonded warehousing:

a) intermediate warehouse with its duty-free regime in the Czech republic brings the goods nearer to its end user and makes the purchase easier through removal of customs obstacles. It means that the goods can be collected either already according to the inland business and tax regulations, or through transit regime for export evtl. to the own bonded warehouse or for active or passive improvement. This solution enables a more flexible response to inquiries whereby it is possible the goods to be re-exported or sent back to the country of origin without losing the customs duty. If you have your Czech market divided among more sale representatives, this can't stand in the way of our cooperation. You can namely build a central warehouse for the whole Czech and Slovak republics.

b) the regime of our public bonded warehousing enables a very important advantage consisting in possibility to pay VAT, excise tax and customs duty just on an indicated day in the calendar month (to be paid usually when collecting the goods from the public bonded warehouse). After verification, we are able to offer you this advantage since the very beginning of our business relation without any tying towards the customs office or towards us ( a great effect of the proposed payment of VAT, excise tax or customs duty is that you don't need to have all the funds available because you can create them even through sold goods, evtl. it is up to your business skill how you can use these funds before the obligation to pay them at the end of a month).

c) the importance of such form is even higher when re-exporting the goods (the price for goods and customs does not increase)

d) one of our services allows a fast clearance of a truck which has been loaded in such a way that after being involved into the customs regime, the truck continues to the destination or to any location in the Czech and Slovak republics without reloading.

e) another advantage is the price of our services - our prices are stated for every customer separately, partially as a lump-sum payment and partially with percentage. The payments are related to goods taken out of the storage and paid after the end of a month as well. That means that even those costs can be paid from already created sale. This combined way of price statement is very appreciated by our clients because reflecting in a better way the changed situation in sale of goods, this system avoids any mutual misunderstandings as compared to only strictly stated lump-sum payments per occupied m2.

f) our individual price calculation results from our principle to reach such total price for the services provided, which would represent the lower running cost expenses than the client's expenses for continuos clearance of customs duty and VAT, operation of his own inland warehouse and other expenses related to the direct import of goods would be.

g) our prices begin at 0,2% of the value of goods which have been taken out of warehouse, see Cl. 47 JCD whereby the percentile evaluation of our prices can be better described by charge of the sale price with those services and it is proportional to sale fluctuation. Thus the price reflects our counter-approach to our clients - if the client is successful he can take his goods out of the warehouse and we provide our services and on the contrary.

h) the saving of your labour power (powers) is a not inconsiderable advantage. To bring the goods into the warehouse, to classify it and to take it out of the warehouse incl. the contact with the customs office is out of your working activities and your time which can be used better for further development of your sale. The whole process can be controlled remotely by you.

ch) we ensure both road and railway customs clearance, incl. re-export of the goods out of the Czech republic

i) as compared to the direct import, the goods is immediately involved into the regime of public bonded warehouse so neither the forwarding agent, nor the importer have to wait at the customs office

j) we ensure also the active and passive improvement

3. Distribution of goods :

To provide our clients with complete services, we ensure also the distribution of the goods all over the Czech and Slovak republics, beginning with little piece shipments up to finished transport stocks. We can render the lease of the total administrative "hinterland" for your business representatives.

Our very good location intensifies the importance of our transport services. This location reduces the transport costs for both Czech and Slovak republics because the road and railway transport is invoiced according to the inland tariff from the border. Because of the approved construction, the village of Sudoměřice should become the second greatest border-crossing between the Czech and Slovak republics after 2000.

In the event of your interest, it is possible to enter into a business consignment cooperation, by means of our business centres with different specialisation. Because the activity of those centres is spread all over the Czech republic, your goods can enter the network of our steady customers. This form can be developed in a very good cooperation. In that case, it is also possible to use our experience with bill law and factoring.

We have a good experience with such form when the goods is sold by us under the same prices as if the customer would purchase the goods directly at a foreign supplier whereby the dealer is not interested in concealing the supplier but - on the contrary- in presenting his image.

We can also confute the objection of some suppliers concerning the lack of motivation for the dealer in case of the consignation warehouse, i.e. non-investment of own funds into the goods offered by him. Our control system doesn't know this because all our dealers are remunerate only in connection with the amount of sold and paid goods what is considered by us to be the best way of involvement (confirmed and verified by our practise).

By means of several completions or combinations, different varieties of consignation sale can occur:

- sale on your separate under-account

- remuneration after the goods have been sold and paid

- total control of the sale by means of a direct sale representative etc.

- your total control of the sale in the Czech and Slovak republics, our company can ensure just customs clearance, distribution and invoicing for the customers in the Czech and Slovak republics (the company Klinger Austria, inter alia, works as to this model)

5. Preparation of a large warehouse and trade area

We have elaborated a study concerning a large business duty-free area with railway siding, with the total area of approx. 60 000 m2. We intend to introduce the producer at every building separately, in accordance to the plans of the border crossing in Sudoměřice. The above study can be the next theme concerning our long-time business relations.
